Terms & Conditions

These Terms & Conditions govern access to and use of Peridot, including its public catalogue, buyer and seller accounts, private product access, inquiries, negotiations, auctions, and any transaction tools that may be made available.
1. Eligibility and accounts
Peridot is a business-to-business platform. You must provide accurate information, use the platform for legitimate professional purposes, and keep your login credentials secure. Peridot may review, approve, refuse, suspend, or close accounts where reasonably necessary to protect the marketplace or comply with applicable requirements.
2. Buyer approval
Registration does not automatically provide full catalogue access. Peridot may request business information and approve buyers before showing trade-only photography, specifications, pricing, or supplier information.
3. Seller listings
Sellers are responsible for the accuracy, legality, availability, authenticity, pricing, descriptions, certificates, images, and other information they provide. Sellers must have the right to offer and display the products they list.
4. Product visibility and confidential information
A seller may designate a product as Public, Vetted Buyers Only, or Selected Customers Only. You must not copy, redistribute, publish, or use restricted product information outside legitimate sourcing and purchasing activity without the seller’s permission.
5. Inquiries, negotiations, auctions, and orders
Product availability, final price, minimum order quantities, taxes, duties, shipping, payment, inspection, returns, and cancellation terms must be confirmed before an order is completed. Where transaction or auction tools are enabled, additional terms shown during that process also apply.
6. Relationship between buyers, sellers, and Peridot
Unless expressly stated otherwise, products are supplied by the seller identified on the listing. Peridot provides marketplace technology and support but is not the manufacturer, owner, or seller of third-party inventory.
7. Prohibited conduct
You must not:
- use false or misleading account, company, or product information;
- circumvent catalogue permissions or access another user’s account;
- scrape, reproduce, or commercially exploit restricted platform data;
- upload unlawful, infringing, deceptive, or harmful content;
- interfere with platform security, availability, or normal operation.
8. Intellectual property
Peridot’s software, branding, interface, and original platform content are protected by applicable intellectual-property laws. Sellers and other users retain responsibility for content they upload and grant Peridot the permissions reasonably needed to host, display, protect, and operate that content within the service.
9. Platform availability and changes
Peridot may update, test, restrict, suspend, or discontinue features. The platform may occasionally be unavailable due to maintenance, security work, third-party services, or circumstances beyond reasonable control.
10. Disclaimers and liability
To the extent permitted by law, Peridot does not guarantee uninterrupted access, that every listing is error-free, or that a proposed transaction will be completed. Nothing in these terms excludes liability that cannot lawfully be excluded.
11. Suspension and termination
Peridot may suspend or terminate access for material breach, fraud, security risk, unlawful activity, non-payment, or conduct that could harm buyers, sellers, Peridot, or the integrity of the marketplace.
12. Governing law and contact
